1. Eligibility

2. Services Provided

ReelStory.ai provides tools and services that allow users to create video memoirs, "Reels," and related digital content using a combination of user-submitted materials (e.g., photos, audio, video, stories) and AI-assisted technology.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice.

3. User Accounts

To access certain features, you may be required to create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your login credentials
• Notify us immediately of unauthorized access to your account
• Accept responsibility for all activity under your account

4. User Content

You retain ownership of any photos, videos, audio, stories, or other content ("User Content") you submit to the Services. However, by submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content solely for the purpose of providing and improving the Services.

You represent and warrant that:

• You own or have the rights to submit User Content
• Your content does not infringe third-party rights or violate any laws
• You are solely responsible for the accuracy, legality, and appropriateness of your content

We reserve the right to remove or refuse any content that we reasonably believe violates these Terms.

5. Prohibited Uses

6. Intellectual Property

All trademarks, logos, design elements, software, and content created by ReelStory.ai (excluding User Content) are owned by Newport Development Group Inc. and protected under intellectual property laws. 7. Payments and Refunds

If you purchase paid Services, you agree to provide accurate payment information. Fees are due at the time of purchase. Except where required by law, all sales are final and non-refundable.

9. Termination

We may suspend or terminate your account or access to the Services at any time, without notice, if we believe you have violated these Terms or engaged in conduct harmful to ReelStory.ai, our users, or third parties. Upon termination, all licenses and rights granted to you will cease immediately.

10. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding:

• The accuracy, reliability, or availability of the Services
• That the Services will be uninterrupted, error-free, or free of harmful components
• That user-generated or AI-generated content will meet your expectations

11. Limitation of Liability

To the fullest extent permitted by law:

• ReelStory.ai and Newport Development Group Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or goodwill.
• Our total liability to you for any claim shall not exceed the amount paid by you (if any) to use the Services during the twelve (12) months prior to the claim.

12. Indemnification

You agree to indemnify and hold harmless ReelStory.ai, Newport Development Group Inc., and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed under the laws of the State of California, without regard to its conflict of law principles.

Any disputes shall be resolved in the state or federal courts located in Orange County, California, and you consent to their jurisdiction.

14. Changes to Terms

We reserve the right to update these Terms at any time. Updates will be posted on this page with an updated 'Effective Date.' Continued use of the Services constitutes acceptance of the revised Terms.
